AGREEMENT BETWEEN MEMPHIS ROX AND CR SUPERMOON CHARITY CHARTERS

THIS AGREEMENT (the "Agreement") is made and entered into as of the date of execution by and between Memphis Rox, a registered 501(c)(3) nonprofit organization ("Memphis Rox"), and CR Supermoon Charity Charters ("CR Supermoon"), a nonprofit entity organizing high-end charitable yacht cruises.

1. Purpose of Agreement 

This Agreement establishes the terms under which Memphis Rox will collect charitable donations from donors and allocate funds to CR Supermoon for the purpose of organizing and executing luxury charity cruises. The full program consists of 216 eight-day, eight-passenger cruises, which, upon completion, will fulfill the vision of CR Supermoon Charity Charters. These cruises must be completed before the Founder, Aubrey Blake Carson, turns 80 years old, September 22, 2062. 

 

2. Donor Contribution & Payment Flow

 

1.         Donors shall make a contribution of $80,000 per 8 passenger cruise to Memphis Rox.

2.         Memphis Rox shall retain a 10% administrative fee ($8,000 per donor).

3.         The remaining $72,000 per donor shall be transferred to CR Supermoon to fund the charter operations.

4.         Memphis Rox shall issue a tax-deductible receipt to the donor for the full donation amount of $80,000.

 

3. Budget Allocation

4. Roles & Responsibilities

Memphis Rox agrees to:

            Collect and process all donations.

            Retain 10% for administrative purposes.

            Transfer the designated $72,000 per donor to CR Supermoon within 10 business days of receipt.

            Provide necessary tax documentation to donors.

 

CR Supermoon agrees to:

            Operate the yacht charter in alignment with the stated budget.

            Manage all travel, yacht rental, staffing, and onboard experiences.

            Maintain financial records to ensure transparency and compliance.

            Assume liability for all operational aspects of the charter.

 

5. Risk & Liability

 

1.         CR Supermoon assumes full responsibility for the execution of the cruise, including but not limited to safety, insurance, and contractual obligations with third-party service providers.

2.         Memphis Rox is not liable for any incidents occurring during the cruise.

3.         Donors acknowledge that their contributions are charitable donations and not subject to refund policies.

 

6. Termination Clause

 

This Agreement shall remain in effect unless:

            CR Supermoon fails to execute the charity cruise per the agreed budget and operational plan.

 

7. Governing Law

 

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Tennessee.
